Terms of Service

These Terms of Service ("Terms") govern your use of Selwyze, a WhatsApp-based business analytics service operated by Selwyze ("we", "us", "our"). Please read these Terms carefully before using our service.

1. Acceptance of Terms

By messaging the Selwyze WhatsApp bot, uploading any chat history, or using any feature of our service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use Selwyze.

2. The Selwyze Service

Selwyze is a business analytics tool that helps Nigerian business owners track revenue, customers, and orders through WhatsApp. Our service includes:

• Parsing of WhatsApp chat export files to extract business data
• Structured order logging via WhatsApp messages
• Automated analytics reports delivered via WhatsApp
• Customer segmentation, churn risk scoring, and loyalty tracking
• On-demand data retrieval via WhatsApp commands

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.

3. Eligibility

To use Selwyze, you must:

• Be at least 18 years of age
• Be operating a legitimate business
• Have a valid WhatsApp account
• Comply with all applicable Nigerian laws and regulations
• Comply with WhatsApp's Terms of Service and Business Policy

Selwyze is intended for business owners, not for use on behalf of end consumers without their knowledge.

4. Your Account

Your Selwyze account is tied to your WhatsApp phone number. You are responsible for:

• Maintaining the security of your WhatsApp account
• All activity that occurs through your Selwyze account
• Ensuring that information you provide is accurate and up to date
• Notifying us immediately if you believe your account has been compromised

You may not transfer your account to another person without our written consent.

5. Acceptable Use

You agree to use Selwyze only for lawful business purposes. You must not:

• Upload chat exports containing data you do not have the right to share
• Use the service to process data of individuals without their knowledge in ways that violate applicable privacy laws
• Attempt to reverse-engineer, hack, or interfere with the Selwyze system
• Use Selwyze to spam, harass, or send unsolicited messages to any person
• Resell, sublicense, or commercially exploit the Selwyze service without our written permission
• Impersonate any person or entity when using the service
• Use the service for any illegal or fraudulent purpose

Violation of these terms may result in immediate account termination.

6. Your Data & Content

You retain ownership of all data you provide to Selwyze, including your chat exports and order information. By uploading content to Selwyze, you grant us a limited, non-exclusive licence to process that content solely for the purpose of providing you with our analytics service.

You represent and warrant that:

• You have the right to upload and share any chat history you provide
• Your use of Selwyze does not violate any third party's rights
• The business data you submit is accurate to the best of your knowledge

We will never claim ownership of your business data or use it for purposes beyond operating and improving Selwyze.

7. WhatsApp Compliance

Selwyze operates via the WhatsApp Business API, which is subject to Meta's WhatsApp Business Terms of Service. By using Selwyze, you also agree to comply with WhatsApp's policies, including:

• WhatsApp Business Policy
• WhatsApp Commerce Policy
• Meta's Terms of Service

We reserve the right to suspend your access to Selwyze if your use puts our WhatsApp Business Account in violation of Meta's policies.

8. Payment & Plans

Selwyze currently offers a free beta. When paid plans are introduced:

• Pricing will be communicated clearly before any charge is made
• You will have the option to continue on a free tier or upgrade
• Refunds will be considered on a case-by-case basis for billing errors
• We will provide at least 14 days notice before any pricing changes affect existing users

During the beta period, we make no guarantees about future pricing and reserve the right to introduce paid plans at any time with reasonable notice.

9. Disclaimers

Selwyze provides analytics based on data you supply. We make no warranties regarding:

• Accuracy of parsed data — chat parsing uses AI and may not capture every order perfectly, especially from informal or incomplete conversations.
• Business outcomes — insights and recommendations are informational only. We are not responsible for business decisions made based on Selwyze data.
• Service availability — we aim for high uptime but cannot guarantee uninterrupted service.

The service is provided "as is" and "as available" without warranties of any kind, express or implied.

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, Selwyze shall not be liable for:

• Any indirect, incidental, or consequential damages arising from your use of the service
• Loss of revenue, profits, or business opportunities based on Selwyze analytics
• Data loss resulting from circumstances beyond our reasonable control
• Actions taken by Meta or WhatsApp that affect service availability

Our total liability to you for any claim arising from use of Selwyze shall not exceed the amount you paid us in the 3 months preceding the claim.

11. Termination

Either party may terminate this agreement at any time:

• You may stop using Selwyze at any time and request deletion of your data by contacting us.
• We may suspend or terminate your account if you violate these Terms, with or without notice depending on severity.

Upon termination, your right to use Selwyze ceases immediately. We will delete your data within 30 days unless retention is required by law.

12. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
